Supplier Agreement Template
Wholesale supplier contract with MOQ, pricing tiers, exclusivity. Example: Minimum 200 units, Net 30 terms.
What a wholesale supply agreement should cover
- The products, with specifications, and how a specification may change
- Pricing tiers and minimum order quantities
- Lead times, and what happens when they are not met
- Exclusivity, if any — by territory, by channel, or by customer
- Payment terms, credit limit, and consequences of exceeding it
- Delivery terms: who arranges freight, who insures it, and when risk passes
- Defects, returns, and recall obligations
- Term, renewal, and termination on notice or for breach
Retention of title, and why it needs registering
Most supply agreements say the supplier keeps title until payment. On its own, that clause has repeatedly failed when a customer became insolvent, because the interest was not registered on the PPSR within the required time. If you supply on credit, registration is the practical difference between recovering goods and joining the unsecured creditor queue.
- Register your security interest on the PPSR, correctly and in time
- Keep your goods identifiable — retention of title is difficult once stock is commingled or transformed
- Set a credit limit and enforce it the first time, not the fourth
Channel and brand control
- Say whether the buyer may resell through online marketplaces, if that matters to you
- Set minimum advertised price expectations carefully — resale price maintenance is restricted under competition law
- Agree how your trade marks may be used in the buyer’s marketing
