What a design agreement should define
- The deliverables, by format and quantity — three concepts, two revision rounds, final files in named formats
- What counts as a revision, and what counts as a new direction
- The fee, the deposit, and the milestone payment points
- When copyright transfers, and what licence applies before it does
- Whether source and working files are included
- Stock assets and fonts: who licenses them, and in whose name
- Credit and portfolio rights — whether you may show the work
- Termination, and what is payable for work done to that point
“Unlimited revisions” is the most expensive phrase in design
Almost every unprofitable design job is one where the revision boundary was never drawn. The problem is rarely a difficult client; it is that nobody agreed what a round is. Defining a round as a single consolidated set of feedback, delivered once, turns an open-ended commitment into a countable one — and makes additional rounds a normal, chargeable thing rather than an awkward conversation.
- Define a revision round as one consolidated response, not a stream of individual comments
- Price additional rounds in the agreement, so charging for them is expected
- Put a response deadline on client feedback, or projects stall on their side and rush on yours
Rights, in plain terms
- A licence lets them use it; a transfer means they own it. Charge differently for each
- Tie transfer to final payment — it is the only leverage that reliably works
- Keep your own licence to display the work unless the client has bought exclusivity
